Quotation
The quotation is valid for 30 days. By accepting Contentor’s quotation, you accept Contentor’s general terms and conditions. The agreement is created automatically, immediately when you confirm your order. A quotation is not considered binding unless the customer has presented all the material to be translated to Contentor, stating the purpose and any desired ancillary services.
Prices
Prices are calculated based on volume, level of difficulty and layout format. Volume is calculated as the number of words in the source text. All words and groups of figures, as well as code, are counted as words.
Changes
Changes to the original text that arise after the price has been agreed are charged separately in accordance with Contentor’s standard pricing.
Delay
If the start or completion of the project is delayed due to circumstances attributable to the customer or conditions on the customer’s side, Contentor reserves the right to charge the actual costs incurred by Contentor as a result. If the start or completion of the project is delayed due to circumstances attributable to Contentor, the customer is entitled to a reduction of the purchase price in accordance with the section “Delivery” below for those parts that have not been delivered on time.
Delivery
Contentor will make all reasonable efforts to ensure that delivery takes place at the agreed time. If Contentor realises that the agreed delivery time cannot be met, the customer must be informed of this as soon as possible and must accept the delay for it to be considered approved. If the customer approves the delay at that point, the project shall be completed within a reasonable time or at another time that may be agreed with the customer. If, due to the delay, the customer instead chooses to cancel the project, the customer is entitled, after payment has been made, to use the translation that has been completed. In this case, however, Contentor accepts no responsibility for the delivered text.
Contentor’s liability for delay is limited to a reduction of the purchase price for the project in question. Under no circumstances shall Contentor or Contentor’s suppliers and translators be liable for damage and/or loss arising in connection with or as a result of a delay caused by the customer’s postponement.
Purpose
When placing an order, the customer must clearly state the purpose/area of use of the translation. If the customer wishes to use the translation for a purpose other than that stated when ordering, Contentor must be informed of this. If the customer uses a translation for a purpose other than that stated when ordering, Contentor accepts no responsibility for the delivered text. When adapting a translation for a new purpose, Contentor reserves the right to charge the customer for this work. If the customer cannot state the intended use of the translation, or if Contentor cannot obtain this information from the customer, Contentor will carry out the translation in the way Contentor considers most likely.
Cancellation
If the project is cancelled by the customer for reasons not attributable to Contentor, Contentor reserves the right to charge the full agreed price for the assignment.
Payment terms
Projects that run for less than one (1) month are invoiced on completion of the project. For projects that run for longer than one (1) month, a monthly settlement is made. Invoicing is carried out with 20 days’ net payment.
Credit check
A standard credit check is carried out before all orders for all new customers. If the credit check is not approved, or if it concerns a newly established company, 100% advance payment is required for all orders. Contentor does not undertake assignments for private individuals.
Liability and warranty
Contentor is responsible for ensuring that the quality of the translation is in line with good practice in the translation industry, that it is carried out by experienced translators and that the instructions given by the customer are taken into account.
Contentor’s liability for errors in the translation only applies on condition that any errors in the translation have been pointed out within a reasonable time (but no later than thirty (30) days from delivery), and that Contentor has been given the opportunity to correct the errors.
Contentor’s liability is limited to a reduction of the purchase price for the project in question and shall never exceed the agreed price for the project in question (but never more than SEK 50,000 excluding VAT per project). Under no circumstances shall Contentor or Contentor’s suppliers and translators be liable for damage and/or loss arising in connection with or as a result of the use of a translation, language review or other assignment carried out by Contentor.
For projects where the customer has approved a sample translation or has been involved in the selection of translators, Contentor’s liability for delivered material is very limited and applies only in the event of serious and extensive errors. For prices below SEK 1.39/word, Contentor’s liability is limited to serious and extensive errors only.
The customer is aware of and accepts that the customer is solely responsible for ensuring that all information and material that the customer provides to Contentor under the agreement is correct and does not infringe the rights of any third party. Consequently, Contentor cannot be held liable for any errors or deficiencies in the delivery or partial delivery of a project arising as a result of errors in the material or information provided by the customer.
Contentor has liability insurance with Länsförsäkringar Skåne corresponding to one (1) million SEK.
Value added tax
Value added tax (VAT) is added to all prices.
Validity
Contentor reserves the right to change these terms and conditions at any time and undertakes to notify in advance the customer or customers who may in any way be affected by changes to the terms and conditions.
Force majeure
Contentor or Contentor’s subcontractors are not liable for damage, delays and/or losses that may arise if Contentor or Contentor’s suppliers and translators are delayed or prevented from performing due to fire, natural disasters, war, mobilisation or unforeseen military call-ups of a similar scope, requisition, seizure, insurrection, riots and industrial disputes.
Disputes
Any dispute arising from an assignment shall primarily be resolved through negotiation between the parties. If such negotiations do not lead to a resolution of the dispute, the dispute shall be settled in court, with Helsingborg District Court as the court of first instance.
